Fossil wood can be formed when organic tree matter is buried in mineral rich, oxygen deprived sediments. Due to the lack of oxygen, and not being exposed to the elements. The wood decays at a much slower rate. As it decays the minerals in the surrounding sediment replace the decaying organic matter.
